Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Hivemind Inc. ("Hivemind," "we," "us," or "our"), including the website at hivemind.inc and any related applications (collectively, the "Service").

By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

Hivemind is an investment intelligence platform. The Service surfaces context about the securities you hold or are interested in — including institutional ownership patterns, supply-chain relationships, and personalized news signals — by combining public data sources with information you choose to share.

The Service is informational. Hivemind is not a registered investment adviser, broker-dealer, or financial planner. Nothing in the Service constitutes investment, legal, tax, or other professional advice (see Section 7).

3. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate registration information and to keep it current.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at team@hivemind.inc if you suspect unauthorized access.

4. Connecting Financial Accounts (Plaid)

The Service uses Plaid Inc. to connect to your brokerage and investment accounts at your request. By initiating a connection, you authorize Plaid to access your financial institution on your behalf and authorize us to receive the resulting data through Plaid.

Read-only access. The Service requests read-only access. We cannot initiate trades, transfers, withdrawals, or any other transactions on your accounts.

Data accuracy disclaimer. The financial account data displayed in the Service is provided as reported by your institution through Plaid. We do not guarantee that this data is current, complete, or error-free. Holdings, transactions, cost basis, and balances may be delayed, may not reflect pending activity, and may differ from your institution's official records. You should rely on your institution's statements for authoritative account information.

You can disconnect a connected institution at any time from your Settings. Disconnection terminates Plaid's access and removes the corresponding data from our systems. See our Privacy Policy for details.

Your use of Plaid is also subject to Plaid's own End User Privacy Policy and terms.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to access, scrape, reverse-engineer, or interfere with the Service or its underlying systems
  • Connect or attempt to connect accounts that do not belong to you
  • Resell, sublicense, or redistribute the Service or its content without our written permission
  • Use the Service to harass, defraud, or harm others
  • Bypass or attempt to bypass rate limits, authentication, or other technical restrictions

We may suspend or terminate your account if you violate these restrictions.

6. Intellectual Property

The Service, including its content, code, design, and underlying data sources, is owned by Hivemind or its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal use, subject to these Terms.

You retain ownership of the information you provide to the Service (your portfolio data, connected account contents, etc.) and grant us a license to process that information solely to operate and improve the Service.

7. No Investment Advice

Hivemind does not provide investment, legal, tax, or other professional advice. The intelligence, analysis, signals, and any other content presented in the Service are informational only and reflect algorithmic and editorial interpretation of public data.

Nothing in the Service is a recommendation to buy, sell, or hold any security. Past performance does not predict future results. You are solely responsible for your investment decisions, and you should consult a qualified professional before acting on any information you encounter through the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HIVEMIND DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR TIMELINESS OF DATA SURFACED THROUGH THE SERVICE.

We do not warrant that the Service will be uninterrupted, error-free, or that any data displayed (including data sourced from Plaid, public filings, or third-party providers) is accurate or complete.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HIVEMIND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Hivemind from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right.

11. Termination

You may stop using the Service and delete your account at any time from your Settings. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if continued provision of the Service to you presents a risk to us or other users.

On termination, sections that by their nature should survive (including Sections 6–10) will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date above and, for material changes, notify you by email or through the Service. Continued use of the Service after a revision constitutes acceptance of the updated Terms.
